5. Disclaimers and Limitation of Liability

- We do not provide specific outcome targets or performance guarantees
- Business results depend on various factors beyond our control
- Clients assume responsibility for implementation and execution decisions
Liability Limitations
Our total liability for any claims arising from consulting services is limited to:
Maximum Liability
The total fees paid for the specific service giving rise to the claim, not to exceed S$100,000.
Excluded Damages
No liability for indirect, consequential, or punitive damages under any circumstances.
6. Payment Terms and Billing
Payment Schedule
Billing Terms
- Invoices are due within 30 days of issue date
- Accepted payment methods: bank transfer, corporate check
- Late payment fees: 1.5% per month on overdue amounts
- All fees quoted in Singapore Dollars (SGD)
7. Termination
Termination by Either Party
Either party may terminate the consulting engagement with 30 days written notice. Upon termination:
- Client remains responsible for payment of all work completed to date
- We will provide deliverables for work completed as of termination date
- Confidentiality obligations continue beyond termination
- Intellectual property provisions remain in effect
Immediate Termination
We reserve the right to terminate services immediately without notice for material breach of these terms, non-payment of fees, or any illegal or unethical conduct by the client.
8. Dispute Resolution and Governing Law
Resolution Process
Direct Negotiation
Initial attempt at informal resolution through direct communication between parties.
Mediation
If direct negotiation fails, disputes will be referred to mediation through Singapore Mediation Centre.
Arbitration
Final disputes will be resolved through binding arbitration under Singapore International Arbitration Centre rules.
Governing Law and Jurisdiction
These terms are governed by the laws of Singapore. The Singapore courts have exclusive jurisdiction over any legal proceedings that cannot be resolved through the dispute resolution process outlined above.
9. General Provisions
Entire Agreement
These terms, together with any signed service agreements, constitute the entire agreement between parties and supersede all prior negotiations and understandings.
Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated with 30 days notice. Continued use constitutes acceptance of modified terms.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
Assignment
Clients may not assign their rights or obligations under these terms without our written consent. We may assign our rights with reasonable notice to clients.
